Use of (User Generated Content)
and guidelines regarding copyright and portrait rights usage licenses

These guidelines stipulate the rights and other matters that must be observed by CA4LA Inc. (hereinafter referred to as "our company") when our company uses content (hereinafter referred to as "this UGC") created by you (hereinafter referred to as "the contributor") and posted on social media etc. on our website (hereinafter referred to as "this site") and in advertising and promotional materials.

Article 1 Use of UGC

When we use the UGC of a Contributor, we shall ask the Contributor for permission to use the UGC by using the direct message function. In the event that the Contributor grants us permission to use the UGC, we will deem that the Contributor has agreed to these Guidelines by replying to us with a "Permission to Use" response by the Contributor.

Article 2 Right to Use UGC, etc.

  • However, by agreeing to these Guidelines, the contributor grants us a non-exclusive, royalty-free license to use the UGC (hereinafter referred to as the "License").
  • The Company may post the UGC of the Contributor on the Company's official SNS and the Company's e-commerce site.
  • The period of use of this UGC by the Company shall be one (1) year from the date of commencement of use as determined between the contributor and the Company.
  • In using UGC, we may, at our discretion, remove any commentary from the UGC of the contributors, and the contributors shall not object to such removal.
  • The Contributor shall not exercise his/her moral rights with respect to the use of this UGC by the Company, and shall not allow any other person who holds moral rights to exercise such moral rights, if any.

Article 3 Representations and Warranties

The poster represents and warrants to the Company the following:

  • The copyright of the UGC belongs to the poster, or even if the copyright does not belong to the poster, the poster has obtained permission to use the UGC, including permission to use the UGC from the rights holder.
  • The poster has the legitimate authority to grant permission for the Company to use all or part of the UGC.
  • The UGC does not infringe any third party rights (including, but not limited to, copyright, portrait rights, right of reputation, right of privacy, trade secrets, etc.).
  • The UGC does not contain any confidential information or personal information of any third party other than the poster.
  • The UGC does not violate any laws or regulations or public order or morals.
  • The poster does not belong to anti-social forces, etc.
  • If the contributor is a minor, permission to use this UGC must be obtained from a person with parental authority.

Article 4 Handling of Personal Information

  • The poster agrees that the Company may use the UGC for advertising and other sales promotion purposes (including publishing it on the Company's website) in accordance with these Guidelines, even if the UGC contains the poster's personal information (meaning "personal information" as defined in Article 2, Paragraph 1 of the Act on the Protection of Personal Information).
  • In addition to the provisions of these Guidelines, the handling of personal information shall be governed by our separately established Privacy Policy and Personal Information Protection Policy, and posters agree that their personal information will be handled by our company in accordance with this Privacy Policy.

Article 5 Use of other companies' systems

  • When posting UGC on our website, we may use a system provided by Vanish Standard Co., Ltd. (hereinafter referred to as "Company C"). When using this system, the poster's UGC or a link to the website where the UGC is posted will be provided to Company C and stored in Company C's system, and the poster agrees that the UGC or a link to the website where the UGC is posted will be provided to Company C.
  • C. C. to provide services provided by C. C. (hereinafter referred to as the "VS Service") (including the provision of another application to the contributor) with respect to this UGC provided by the contributor. (iii) Improvement of the VS Service, addition of new functions to the VS Service, planning, development and provision of new services by the company, advertising activities related to the company and its services (including publication in the media operated by the company and articles and other media on magazines and websites whose contents are provided by the company, as well as posters, (This includes, but is not limited to, publication in the media operated by VS and articles in magazines and websites provided by VS, as well as use in posters, digital signage, and PR videos.) (2) The User agrees that the Company may use the information in the VS Service (including, but not limited to, publication in the media operated by the company, articles on magazines and websites provided by the company, and use as posters, digital signage, and PR images), provision to the public through publication in the VS Service, publication on e-commerce sites of companies having business relationships with the Company, and use for the Company's sales activities, etc. (such use includes provision to other companies using the VS Service). (Such use includes providing the information to other businesses that use VS Services).

Article 6 Assignment, etc. of this Agreement

The rights and obligations of posters under these guidelines belong to the poster personally and may not be loaned or transferred to a third party.

Article 7 Governing Law and Jurisdiction

These Guidelines shall be governed by the laws of Japan, and any disputes arising out of or relating to these Guidelines shall be submitted to the exclusive jurisdiction of the Tokyo District Court or the Tokyo Summary Court as the court of first instance.
